Terms of Service
These Terms of Service govern your access to and use of the Venomin platform, software editions, sandbox trials, and commercial operations operated by Walletmix Limited.
01. Acceptance & Operating Entity
These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether individually or on behalf of an entity you represent, “Customer”, “User”, or “you”) and Walletmix Limited (“Company”, “we”, “us”, or “our”), the developer and legal operating entity of the Venomin master technology platform.
By registering for an account, submitting a trial request, accepting a commercial quote or proposal, generating an invoice, or otherwise accessing venomin.com and related administrative interfaces, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
02. Account Registration & Authority
To access platform features, customer billing, and software sandboxes, you must register for an authorized account. By registering on behalf of a business, corporation, municipal body, medical facility, educational institution, or other entity, you represent and warrant that you possess the full legal authority to bind that organization to these Terms.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or security breach.

04. Trials, Sandboxes & Evaluation Licenses
We may make available temporary trial accounts, demo environments, and sandbox workspaces. These environments are provided strictly for evaluation purposes. Unless otherwise specified in a commercial agreement, trial instances are temporary, may expire automatically after the designated evaluation period, and may be reset or decommissioned at our discretion.
Customers must not use trial or sandbox environments to store live, unbacked-up production data or sensitive regulatory records.
05. CityERP Special Terms: Government & Enterprise Review
CityERP is strictly enterprise and government review-gated. A website inquiry, demo request, or exploratory sandbox access does NOT constitute:
- Government procurement approval or contract award.
- Authorization for sovereign municipal deployment.
- Formal acceptance by any civic authority or statutory agency.
- Sovereign data hosting authorization.
Full production deployment of CityERP requires executed bilateral sovereign enterprise agreements and dedicated security compliance review.
06. Venomin Pay Special Terms: Sandbox & Early Access
Venomin Pay is currently presented in Sandbox / Early Access mode as a payment technology orchestration layer. Unless separately activated under an applicable commercial, banking, and regulatory agreement:
- Venomin Pay does not function as a live public acquiring financial institution on the general website.
- Developer test endpoints simulate payment lifecycle events for software integration testing.
- No real funds or credit transactions are captured through public sandbox test calls.
07. Quotes, Proposals, Pricing & Commercial Orders
- Pricing & Quotes: Pricing calculations on Venomin are configured based on selected modules, scale metrics (e.g. units, counters, beds), and deployment tiers. Formal proposals and quotes are valid for thirty (30) days from issuance unless otherwise stated.
- Taxes: All fees are exclusive of applicable national, state, local, or value-added taxes (VAT), which shall be the responsibility of the Customer unless tax exemption documentation is provided.
- Invoicing & Settlement: Invoices generated via the customer portal are payable in accordance with the specified payment terms (e.g. upon receipt, net-15, or net-30). Confirmed payment receipts are issued upon verified settlement.
- Subscription Cycles & Grace Periods: Subscriptions renew automatically at the conclusion of each billing period unless cancelled prior to renewal. A configurable administrative grace period is provided before license suspension occurs.
08. Acceptable Use & System Integrity
You agree not to:
- Reverse engineer, decompile, or attempt to derive source code from any Venomin binary or service.
- Probe, scan, or test the vulnerability of the system without prior written authorization.
- Transmit viruses, malware, or malicious code designed to disrupt platform infrastructure.
- Circumvent or attempt to bypass production integration dual-gate controls.
- Engage in abusive rate-limit exceeding requests or automated scraping.
09. Enterprise Contract Precedence
Where a separate signed enterprise master services agreement, formal proposal, service level agreement (SLA), data processing addendum (DPA), or sovereign government agreement has been executed between Customer and Walletmix Limited, the specific terms of that executed agreement shall supersede and govern over these general website Terms to the extent of any conflict.
10. Disclaimers, Liability & Governing Law
Disclaimer of Warranties: Except as expressly provided in a signed commercial agreement, the Venomin platform and software sandbox services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory.
Limitation of Liability: To the maximum extent permitted by applicable law, neither Walletmix Limited nor its directors, employees, or partners shall be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill.
Governing Law: These Terms are governed by the applicable commercial agreement between the customer and Walletmix Limited and applicable law.
